1. What is the Yahoo!/MTV Movie Awards "Best Movie Spoof" Contest?
For the first time ever, aspiring film-makers have a chance to shine on stage at the "MTV Movie Awards 2007" and accept the legendary Golden Bucket of Popcorn in front of Hollywood's movers and shakers. The contest, launching April 23rd, allows you to submit your own original movie shorts parodying selected films from the past year for consideration in the first ever "BEST MOVIE SPOOF" user-generated category.

2. How do I enter the Yahoo!/MTV Movie Awards "Best Movie Spoof" Contest?
First, select which movie you want to spoof. The full list of authorized movies is available in our Toolbox. Then, shoot your spoof. Make sure it is less than 5 minutes long and does not use any copyrighted music or video materials that you didn't create yourself or other than the ones provided in the Toolbox. Also make sure that anyone you are featuring in your video has given you their permission to do so. Once you are done, upload your Spoof here.

3. How does the contest work?

4. How do I increase my chances of winning?
Judges will select the best entries based on humor, creativity and audience appeal. So make the best spoof you can, submit as early as possible, and rally all of your friends to vote for your spoof!

The 5 nominees will be flown to Los Angeles to attend the 2007 MTV Movie Awards and will receive a point and shoot video camera. The Winner will be revealed to the world during the show's live broadcast on Sunday, June 3rd when he/she is invited on stage to accept the first-ever "Best Movie Spoof" Award.

("JMBP") are not responsible for the collection, submission or processing of entries or the administration of the Contest.
- 1. CONTEST DESCRIPTION: The Yahoo! / MTV Movie Awards Best Movie Spoof Contest ("the Contest") is a skill based competition in which participants will compete by submitting their best recorded audiovisual parody of a major motion picture from among a list of films provided on the Contest website, located at http://mtvmovieawards.yahoo.com (the "Contest Site"), for a chance to win a trip to the MTV Movie Awards and an MTV Movie Award. Each participant will be invited to submit his/her spoof video (a "Spoof"), which will be voted on and rated by the public and by a panel of judges as described in Rules 7 and 8. The Contest begins at 12:01 AM PDT on April 23, 2007 and ends at 6:00 PM PDT on June 2, 2007. The deadline for submissions is May 21, 2007 at 10:00 AM PDT (the "Submission Deadline"). The Contest will be conducted in two phases. The first phase of the Contest ("Round One") consists of an online competition in which participants will be invited to upload a Spoof to the Contest Site. All submissions will be posted on the Contest Site and rated by the public and by a panel of expert judges chosen by the Sponsors. Five Finalists will be selected at the end of Round One based on the results of the expert judging to advance to the second phase. During the second phase of the Contest, ("Round Two") the public will be asked to select the one Spoof which they think is worthy of winning an MTV Movie Award for the Contest Entrant who submitted it. The Contest Entrant who submitted the Spoof which receives the most votes during Round Two of the Contest will be declared the winner, subject to verification and compliance with the Official Rules.
- 2. ELIGIBILITY: This Contest is open to legal residents of the fifty United States and the District of Columbia who are at least 16 years of age. Entrants who are under the age of majority in their jurisdiction of residence must have their parent/legal guardian's permission in order to submit an entry in this Contest. Employees and agents of Sponsors, New Line, their respective affiliates, subsidiaries, advertising and promotion agencies, any other prize sponsor, and any entity involved in the development, production, implementation, administration or fulfillment of the Contest (all of the foregoing, together with Sponsors, collectively referred to as "Promotion Entities"), and their immediate family members and/or those living in the same household of such persons, are not eligible to enter the Contest.
- 3. HOW TO REGISTER: Any individual wishing to participate in the Contest must first register to participate, thereby becoming an eligible participant (a "Contest Entrant"). Registration is free and available at the Contest Site. If you are not an existing Yahoo! account holder, follow the instructions to create a free Yahoo! ID (a "Contest ID"). As part of the registration process, Contest Entrants will be required to click where indicated to signify that they accept and unconditionally agree to be bound by these Official Rules, including the decisions of the judges and the Sponsors which are final and binding in all respects. Limit one (1) registration per person and per e-mail address. Any individual who attempts to register, or in the sole discretion of Sponsors is suspected of registering more than once, by any means, including but not limited to establishing multiple e-mail accounts or Yahoo! IDs will be disqualified from the Contest. A team of individuals (a "Team") may collaborate on a Spoof, provided that ALL members of the Team meet the eligibility requirements contained in these Official Rules. The Team must designate one person as the agent of the group to enter the Contest, agree to these Official Rules and accept the Grand Prize on behalf of the group. The person who obtains the Yahoo! ID under which a Spoof is submitted will be deemed the "Contest Entrant" for that Spoof. Neither Sponsors nor any of the Promotion Entities are liable for any disputes between collaborators arising under or related to the Contest. The Contest Entrant is the one (1) person who is the authorized account holder of the Contest ID and the email address associated with that Contest ID. In the event of dispute regarding the identity of the holder of a Contest ID, dispute will be resolved in favor of the individual who is both the authorized holder of the Contest ID and password associated with the Yahoo! ID (based upon information submitted at the time the Yahoo! ID was created or updated upon registration for this Contest) and, if available, the "authorized alternate e-mail account holder" provided when the Contest ID was created. "Authorized alternate email account holder" is defined as the natural person assigned an e-mail address by an Internet access provider, online service provider, or other organization (i.e., business, education institution) responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. If a dispute as to the identify of a Contest Entrant cannot be resolved to Sponsors' satisfaction, the affected Spoof will be deemed ineligible.
- 4. HOW TO SUBMIT A CONTEST ENTRY: Once you have completed registration, follow the online instructions to complete, encode and upload your Spoof. You may submit up to 10 Spoofs during the term of the Contest; however, you may not submit the same or materially similar Spoof more than once. The decision about what constitutes the same or materially similar Spoof is in Sponsors' sole discretion. You must complete the registration process and upload your Spoof(s) no later than 10:00 AM PDT on May 21, 2007 (the "Submission Deadline"). Contest Entrants will be invited to use certain audio/video media assets from various theatrically-released motion pictures ("Authorized Assets"). All Spoofs: (a) must be a parody of one of the films listed on the Site; (b) must be no more than 5 minutes in total running time; (c) must be formatted and encoded according to the requirements set forth at the Contest Site; (d) must be primarily in English, if there is any language in the Spoof; however, subtitles may be permitted when used for comic effect, in the Sponsors' sole discretion; (e) must be intended for family audience viewing and contain only content that, in the sole and unfettered discretion of the Sponsors, is suitable for all persons over the age of 13; (f) must not, in the sole and unfettered discretion of the Sponsors, contain any sexually explicit, disparaging, libelous or other inappropriate content or any nudity; (g) must not, in the sole discretion of Sponsors, contain any commercial content that promotes any product or service other than those of the Promotion Entities; (h) must not contain any copyrighted works (other than materials owned by the Contest Entrant, or the Authorized Assets). Any elements appearing in your Spoof, including without limitation music, audio, speech/voiceovers, stills, video, supers, or other audiovisual materials (collectively, "Elements") used must be entirely original, created and performed by you, be in the public domain, or be an Authorized Asset. Use of any Elements or other materials that are not original, in the public domain or an Authorized Asset may result in disqualification of a Spoof, in Sponsors' sole discretion. By entering the Contest, each Contest Entrant acknowledges and agrees that: (a) New Line is granting entrants a limited, non-transferable, non-exclusive license to use the Authorized Assets solely in connection with the Contest and only for the duration of the Contest, (b) Contest Entrants shall have no right, title or interest in the Authorized Assets, and (c) any use of the Authorized Assets other than as expressly permitted by these Official Rules will constitute a violation of these Official Rules and may constitute copyright infringement. Further, those Authorized Assets provided by New Line may be used only in a Spoof of the New Line film that they appeared in. In other words, Contest Entrants may not combine or "mash up" any of the Authorized Assets with footage, music or other elements taken from any other motion picture in the same Spoof.
- 5. SPONSORS' RIGHT TO DISQUALIFY: At any time during the Contest, Sponsors reserve the right, in their sole and unfettered discretion, to disqualify and remove any Spoof that they believe contains any inappropriate content, infringes the rights of any third party, or otherwise does not meet any other requirements in these Official Rules. The decisions of the Sponsors on this and all matter relating to the Contest are final and binding.
- 6. CONDITIONS OF CONTEST ENTRY: Each Contest Entrant retains ownership of any Spoof he/she enters into Round One of the Contest, with the exception of any Authorized Assets that he/she may have incorporated into his/her Spoof. However, as conditions of entry into the Contest, each Contest Entrant (or Contest Entrant's parent/legal guardian, if Contest Entrant is a minor in his/her state of legal residence):
- i WARRANTS AND REPRESENTS THAT THE CONTEST ENTRANT OWNS ALL RIGHTS TO THE SPOOF(S) HE/SHE IS SUBMITTING, INCLUDING, WITHOUT LIMITATION, THE VIDEO OR DIGITAL RECORDING ITSELF, AND THE PERFORMANCE CONTAINED IN EACH SPOOF, WITH THE EXCEPTION OF ANY AUTHORIZED ASSETS (COLLECTIVELY, THE "CONTEST ENTRY MATERIALS");
- ii. WARRANTS AND REPRESENTS THAT THE CONTEST ENTRANT IS THE INDIVIDUAL PICTURED AND HEARD IN THE RECORDING, OR, ALTERNATIVELY, THAT THE CONTEST ENTRANT HAS OBTAINED PERMISSION FROM EACH PERSON WHO APPEARS IN THE CONTEST ENTRY MATERIALS TO GRANT THE RIGHTS TO THE SPONSORS DESCRIBED IN THESE RULES, AND CAN MAKE WRITTEN COPIES OF SUCH PERMISSIONS AVAILABLE TO PROMOTION ENTITIES UPON REQUEST;
- iii. WARRANTS AND REPRESENTS THAT: (a) HIS/HER CONTEST ENTRY MATERIALS ARE ORIGINAL AND HAVE BEEN LEGALLY OBTAINED AND CREATED, (b) DO NOT INFRINGE THE INTELLECTUAL PROPERTY, PRIVACY OR PUBLICITY RIGHTS OR ANY OTHER LEGAL OR MORAL RIGHTS OF ANY THIRD PARTY, OR VIOLATE APPLICABLE LAWS, REGULATIONS OR NETWORK STANDARDS;
- iv. irrevocably grants to Promotion Entities and their affiliates, legal representatives, assigns, agents and licensees, the worldwide, royalty-free, non-exclusive, sublicensable, unconditional, perpetual and transferable license and right to copyright (only as applicable), reproduce, encode, store, modify, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, exhibit and/or otherwise use or reuse (without limitation as to when or to the number of times used), the Entrant's name, state of residence, image, voice, likeness, statements, biographical material and Contest Entry Materials, including, but not limited to, the video or digital recording and performances contained in any of the above items, as well as any additional photographic images, video images, portraits, interviews or other materials relating to the Entrant and arising out of his/her participation in this Contest (with or without using the Entrant's name) (collectively, the "Additional Materials") (in each case, as submitted or as edited/modified in any way, whether by the Promotion Entities, their licensees, or assigns, in the Promotion Entities' sole discretion) in any media throughout the world, whether now known or hereafter created, for any purpose, without limitation, and without additional review, compensation, or approval from the Entrant or any other party, except as prohibited by law.
- v. irrevocably grants to Promotion Entities and their affiliates, legal representatives, assigns, agents and licensees, the worldwide, royalty-free, non-exclusive, sublicensable, unconditional, perpetual and transferable right and license to use the Contest Entry Materials for advertising, promotional or commercial purposes, including without limitation, the right to publicly display, perform, reproduce and distribute the Contest Entry Materials in any media format or medium and through any media channels, except as prohibited by law.
- vi. grants to others: (i) the non-exclusive license to access the Contest Entry Materials through the Contest Site or Yahoo! Video service; (ii) the ability for Yahoo! registered users ("Yahoo! Users") to rate, review, comment on and tag the Contest Entry Materials; (iii) the ability to embed Yahoo!'s video player with the Contest Entry Materials on the Yahoo! User's web site; (iv) the ability for Yahoo! Users to send and distribute the Contest Entry Materials via e-mail or instant messenger; (v) the ability to access the Contest Entry Materials via Yahoo!'s web service APIs or via RSS or any similar XML or related feeds; and (vi) the non-exclusive license to use, reproduce, distribute, remix, prepare derivative works of and compilations, display and perform the Contest Entry Materials as permitted through the functionality of the Yahoo! Video service and under the Yahoo! Terms of Service (http://docs.yahoo.com/info/terms/) and Yahoo! Video Additional Terms of Service (http://video.yahoo.com/html/tos.html);
- vii. forever waives any rights of privacy, intellectual property rights, and any other legal or moral rights that may preclude Promotion Entities' use of the entrant's Contest Entry Materials or Additional Materials, or require the Contest Entrant's permission for Promotion Entities to use them for promotional purposes, and agrees to never sue or assert any claim against the Promotion Entities' use of those Materials;
- viii. acknowledges and agrees that (a) Sponsors have access to and/or may create or have created literary, film, tape and/or other materials, ideas and concepts which may be similar or identical to the Contest Entry Materials in theme, idea, plot, format, characters and/or other respects; (b) the Contest Entrant will not be entitled to any compensation or other consideration because of the use by Sponsors of any such similar or identical material, ideas and/or concepts; and (c) Sponsors' use of material containing elements similar to or identical with those contained in the Contest Entry Materials or any component thereof shall not obligate Sponsors to negotiate with nor entitle Contest Entrant to any compensation or other claim;
- ix. agrees to indemnify and hold the Promotion Entities and their respective affiliates, officers, directors, agents, co-branders or other partners, and any of their employees (collectively, the "Promotion Indemnitees"), harmless from any and all claims, damages, expenses, costs (including reasonable attorneys' fees) and liabilities (including settlements), brought or asserted by any third party against any of the Promotion Indemnitees arising out of or in connection with (a) any Contest Entry Materials or Additional Materials (including, but not limited to, any and all claims of third parties, whether or not groundless, based on the submission of such material); (b) any breach by Contest Entrant of any warranty, agreement or representation contained in these Official Rules or terms of service or in any documentation submitted by Contest Entrant; (c) the Contest Entrant's conduct during and in connection with this Contest, including but not limited to trademark, copyright, or other intellectual property rights, right of publicity, right of privacy or defamation; or (d) the acceptance of any prize.
- 7. ROUND ONE FINALIST SELECTION PROCESS: At the start of Round One, on April 23, 2007, a series of ineligible sample submissions will be made available as examples on the Contest Site. All eligible Spoofs, as they are received and deemed to be eligible, will be displayed on the Contest Site starting April 30, 2007. Between April 30, 2007 and May 29, 2007 at 10 AM PDT, (the "Round One Voting Period"), members of the public who have registered at the Site (the "Voters") will have the opportunity to view and rate the posted Spoofs. Voters will be asked to rate Spoofs on a 1 to 5 star rating scale, with 1 star being the lowest score and 5 stars being the highest score, based on humor and creativity. In the event of a tie, the tied entries will be re-judged by a different panel of judges selected by the Sponsors, using the same criteria described above. Voters can only rate each Spoof once. Any attempt by a Voter to rate a Spoof more than once during the Round One Voting Period may result in disqualification of all ratings and other Voter Activity produced by that Voter. The Spoofs in Round One will also be rated by a panel of judges consisting of editors and media staff selected by the Sponsors and/or the Promotion Entities (the "Judges"), who will evaluate each Spoof. The Judges will rate the Spoofs on a 1-5 star scale rating with 1 star being the lowest score and 5 stars being the highest score, based on the following equally weighted criteria: creativity, humor, and audience appeal (the "Judging Criteria"). The Judges will also consider the results of the public voting as of May 21, 2007 at 6:00 PM PDT as an additional factor in applying the foregoing criteria, but will not be bound by the results of the public voting. The Contest Entrants who submitted the Spoofs that receive the five highest average ratings from the Judges will be considered the potential Contest finalists (each, a "Finalist") and advance to Round Two, subject to verification by the Sponsors and judges that the Spoofs are in compliance with the Official Rules and do not contain any inappropriate content. An additional number of alternate Finalists ("Alternates") will also be selected, in rank order, from among the remaining eligible Spoofs as scored by the Finalist Judges. Between approximately May 22 and May 25, 2006, the five potential Finalists and 10 Alternates will be contacted by telephone and/or email to arrange a personal interview and pre-screening with the Sponsors (the "Pre-Screening"). Each potential Finalist and potential Alternate (or, if a particular potential Finalist/Alternate is a minor, that individual's parent or legal guardian) will be required to execute and return an Affidavit of Eligibility and Liability/Publicity Release (collectively, an "Affidavit and Release"), together with any other documentation or screening that may be required by Sponsors. If any potential Finalist/Alternate cannot be contacted, does not return a phone call or correspondence from the Sponsors within 24 hours following attempted notification, or fails to comply with the Sponsors' verification process and/or eligibility requirements for the Pre-Screening, that potential Finalist/Alternate may be disqualified. Similarly, the Affidavit and Release must be fully completed and returned to Sponsors (together with a guest release for Finalist's travel companion) within 24 hours following the sending of those documents to the potential Finalist/Alternate, or the potential Finalist/Alternate may be disqualified. An alternate potential Finalist may be selected, in rank order, from among the remaining Alternates, if time permits, and if any qualified Alternates remain, subject to the same eligibility and verification requirements described in these Official Rules. Potential Finalists or Alternates which are disqualified for any reason will not be entitled to any form of compensation, and any and all rights to further participation or any prize in this competition will be forfeited. The Judges reserve the right to select fewer than 5 Finalists or 10 Alternates in the event that there is an insufficient number of Videos that are deemed to meet their criteria, or if any potential Finalist, in the sole opinion of Sponsors, does not comply with the Sponsors' eligibility and verification requirements.
- 8. ROUND TWO: THE FINAL JUDGING PHASE: Beginning May 29, 2007, and continuing until June 2, 2007 at 6 PM PDT (the "Finalist Voting Period"), each Finalist's original Spoof will be posted on the Contest Site. Members of the public will be invited to view each Spoof to evaluate which Finalist should win the Grand Prize. Voters may change their vote up until the end of the Finalist Voting Period; however any attempt by a Voter to vote more than once may result in disqualification of all rating and other Voter activity produced by that Voter. The Finalist who receives the most votes from the public during the Finalist Voting Period will be declared the Grand Prize winner. In the event of a tie during the Final Voting Period, the tie will be broken by a panel of judges based on the same criteria used in Round One.
- Finalist Prizes: Each confirmed Finalist will receive point-and-shoot video camera (ARV: $150 each) and a trip for two (winner and companion) to Los Angeles, CA to attend the 2007 MTV Movie Awards on June 3, 2007 (the "Prize Trip"). If a Spoof submitted by a Team is selected as a Finalist, only the ONE Team member designated as the "Contest Entrant" by the Team will be entitled to the Prize Trip. Prize Trip includes round trip coach class air transportation for two from a major U.S. airport close to winner's home (carrier and airport to be selected by Sponsor) to Los Angeles, CA; hotel accommodations (one room, standard, double occupancy) for two nights; tickets for winner & companion to the 2007 MTV Movie Awards. Approximate retail value of each Finalist Prize: $3,760 (Finalist Prize value may vary depending upon the actual cost of air transportation from point of departure and accommodations at time of reservation). If a winner is deemed a minor in his/her state of residence, winner's parent/legal guardian will be required to accompany winner on trip as winner's travel companion. Limit one Finalist Prize per winner. Except as specifically provided herein, Finalist Prize package does not include taxes, insurance, telephone charges, personal expenses, travel arrangements between winner's home and U.S. airport of departure, ground transportation, gratuities, passenger facility charges (PFCs), departure taxes, incidental charges, or any other item not specifically described in these Official Rules, and all expenses for any of the foregoing are the sole responsibility of the prize winner. 2007 MTV Movie Awards are subject to change and/or cancellation. Winners must be able to travel June 1-4, 2007. If Promotion Entities cannot find a sufficient number of eligible Finalists who are able to travel on required dates in time to satisfy verification procedures, not all prizes will be awarded. Once confirmed, trip dates and travel accommodations cannot be changed by winner; however, travel is subject to availability, blackout dates, and/or change due to circumstances beyond Promotion Entities' control. Winners and their respective travel companions must travel on the same dates, itinerary, and fare class. All travel awarded in this Contest must be completed by June 10, 2007. No extensions will be permitted, and any unused travel will be forfeited. Finalist Prizes cannot be used in conjunction with any other promotion or offer and may not be separated. All tickets issued in conjunction with the Finalist Prizes are not eligible for frequent flyer miles, and no code-share flights may be used. Finalist Prizes may not be transferred or assigned except by Sponsors. Only listed prizes will be awarded and no substitutions, cash equivalents or redemptions will be made, except that Sponsors reserve the right to substitute any prize package with another prize of equal or greater value in the event that the advertised prize (or any component thereof) is not available. Reporting and payment of all applicable taxes, fees, and/or surcharges, if any, arising out of, or resulting from, acceptance or use of a prize, are the sole responsibility of the winner of that prize. Sponsors expressly disclaim any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use of the prizes awarded. Sponsors make no representations or warranties concerning the appearance, safety or performance of any prize awarded. Restrictions, conditions, and limitations apply. Promotion Entities will not be liable for nor replace any lost or stolen prize items.
- 9. GRAND PRIZE: One Grand Prize will receive a 2007 MTV Movie Award during the 2007 MTV Movie Awards ceremony. The Grand Prize has no monetary value. If a Spoof submitted by a Team is chosen as the Grand Prize winner, the Team member designated as the "Contest Entrant" by the Team will accept the Grand Prize trophy on behalf of the Team. The other members of the winning Team, if applicable, will not receive separate trophies for sharing in the Grand Prize.
- 10. GENERAL RULES: The Contest is governed by and subject to the laws of the United States. All federal, state and local laws and regulations apply. Void where prohibited by law. All Finalists and Grand Prize winner will receive an IRS 1099 for the value of their prizes. If any prize is awarded in connection with a Spoof submitted by a Team, the member of the Team designated as the "Contest Entrant" by the Team will be designated as the recipient of the prize for tax purposes, and will receive the IRS 1099 form in connection with the prize. By participating in the Contest and/or accepting any prize, Contest Entrants grant permission to the Promotion Entities and their advertising and promotion agencies to use their name, likenesses, Spoofs, and any other material submitted in connection with the Contest for purposes of advertising, publicity and promotion purposes, without further compensation to Contest Entrant, unless prohibited by law. Contest Entrants agree to be bound by the Official Rules and the decisions of the judges, which are final and binding on all matters relating to the Contest. Sponsors are not responsible for any typographical or other errors in the printing of the offer, administration of the Contest or the announcement of the prizes, or for lost, late, misdirected, damaged, incomplete or illegal entries. Sponsors reserve the right at their sole discretion to disqualify the Contest Entry or the vote of any individual found to be (a) tampering or attempting to tamper with the entry process or the operation of the Contest or any Sponsor website; (b) violating the Official Rules; (c) violating the terms of service, conditions of use and/or general rules or guidelines of any Sponsor property or service, or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Further, Sponsors reserve the right to disqualify any entry which, in Sponsors' sole opinion, is deemed to be offensive, libelous, slanderous, inflammatory, or otherwise inappropriate in any way for this Contest. LIMITATIONS OF LIABILITY: The Promotion Entities assume no responsibility for any computer, online, telephone transmission or technical malfunctions that may occur during participation in the Contest or any Contest-related activity (including, without limitation, the voting phase of the Contest), or for theft, destruction or unauthorized access to, or alteration of, Contest Entry Materials or votes. Promotion Entities are not responsible for any incorrect or inaccurate information, whether caused by website users, Contest Entrants or any of the equipment or programming associated with or utilized in the Contest; or for any technical or human error which may occur in the processing of submissions or Votes in the Contest. Promotion Entities assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, email, players or browsers, whether on account of technical problems, traffic congestion on the Internet or at any website, or on account of any combination of the foregoing (including but not limited to any such problems which may result in the inability to access the Contest Site or to submit Entry Materials or Votes in connection with the Contest). Promotion Entities are not responsible for any injury or damage to Contest Entrants or any other person, or to any computer related to or resulting from participating or downloading materials in this Contest. If, for any reason, the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Promotion Entities which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, Sponsors reserve the right at their sole discretion to cancel, terminate, modify or suspend the Contest and select winners from among those eligible Contest Entries from that portion of the Contest that has not been compromised, if any.

DISPUTES/GOVERNING LAW: Except where prohibited, as a condition of participating in this Contest, Contest Entrant agrees that any and all disputes which cannot be resolved between the parties, claims and causes of action arising out of or connected with this Contest, or any prize awarded, or the determination of winners shall be resolved individually, without resort to any form of class action. Further, in any such dispute, under no circumstances will Contest Entrant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than entrant's actual out-pocket expenses (e.g., costs associated with entering this Contest), and Contest Entrant further waives all rights to have damages multiplied or increased. All issues and questions rights and obligations of Contest Entrant in connection with this Contest shall be governed by, and construed in accordance with, the laws of the State of California, U.S.A., without giving effect to the conflict of laws rules thereof and any matters or proceedings which are not subject to arbitration as set forth in these Official Rules and/or for entering any judgment on an arbitration award, shall take place in the State of California, County of Santa Clara or County of Los Angeles. The parties waive rights to trial by jury in any action or proceeding instituted in connection with these Official Rules and/or this Contest. Any controversy or claim arising out of or relating to these Official Rules and/or this Contest shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of California, County of Santa Clara, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.
